Michael J. Kavanagh, Co-Founder and Chief Executive Officer

With 20 years of wireless industry experience and an understanding of the challenges facing the industry, Mr. Kavanagh co-founded NewPath Networks in 2004. He spent his career prior to NewPath focused on wireless technology and gained broad experience from a service provider, manufacturer, and OEM perspective. He has consistently worked with visionary technology products to optimize the efficiency of wireless network infrastructure.

Prior to founding NewPath Networks, Mr. Kavanagh was vice-president of sales and marketing at OpenCell Corporation (now part of ADC), where he oversaw the deployment of their digital neutral host hardware platform. He was also a founding member of Metawave Communications, a cellular infrastructure company focused on improving capacity and performance through the use of smart antennas, which supported the wireless service providers. At Metawave, Mr. Kavanagh served in various executive roles in both sales and product management.

Earlier in his career, Mr. Kavanagh worked at US WEST NewVector (a wireless carrier, now part of Verizon Wireless) focusing on the commercialization of the CDMA technology. He has also worked overseas for Raytheon Corporation in the United Kingdom.

Mr. Kavanagh holds a Bachelor of Science degree from the Rochester Institute of Technology and a Masters in Business Administration from Seattle University.

Thomas C. Dircks, Managing Director, Charterhouse Group, Inc.

Mr. Dircks has been Managing Director of Charterhouse Group, a private equity firm, since June 2001. Mr. Dircks served as Executive Vice President of Charterhouse from July 2000 until June 2001 and has been employed as an executive officer of Charterhouse since 1983. He was previously employed as a Certified Public Accountant at a predecessor of PricewaterhouseCoopers, LLP. He holds a B.S. in Accounting and an M.B.A. from Fordham University. Mr. Dircks also is a director of a number of privately-held companies.

James Dovey, Operating Partner, Meritage Funds

Mr. Dovey has been a successful communications executive for more than 40 years. He has played a visionary role in the cable industry and has been involved in starting several successful businesses. He has been with Meritage for seven years. Mr. Dovey currently serves on the Board of Directors for Meritage portfolio companies Trillion Partners, Mobile Content Networks, and NewPath Networks. He served as Chairman and CEO of Completel, a Meritage portfolio company from 1998 to 2001. Prior to founding Completel, he served as Deputy Chairman of IVS Cable International for three years, building the company until its successful sale in 1995 to KPN Cable. In 1987, he founded United Cable International to build and buy cable properties in the UK, and served as CEO of that company through its combination with the United Kingdom assets of US West, forming TeleWest.

William Landuyt, Senior Partner, Charterhouse Group, Inc.

Mr. Landuyt is a Senior Partner at Charterhouse Group, Inc. having joined the New York City-based private equity firm in December 2003. He served as Chairman of the Board and Chief Executive Officer of Millennium Chemicals Inc. from its demerger from Hanson Plc (“Hanson”) in October 1996 until July 2003. He had served as the President of that company from June 1997 until that date. Mr. Landuyt was Director, President and Chief Executive Officer of Hanson Industries (which managed the United States operations of Hanson until the demerger) from June 1995 until the demerger, a Director of Hanson from 1992 until September 29, 1996, Finance Director of Hanson from 1992 to May 1995, and Vice President and Chief Financial Officer of Hanson Industries from 1988 to 1992. He joined Hanson Industries in 1983.

William J. Marraccini, Managing Partner, Merchants Capital

Mr. Marraccini is a Managing Partner of Merchants Capital and is responsible for originating new opportunities, evaluating and negotiating prospective opportunities and monitoring portfolio companies.

Before joining Merchants Capital, Mr. Marraccini was the founder, principal owner and long-time CEO of AAT Communications, the largest privately-owned communications tower operator in the U.S. He was also an original investor and served on the board of Metro One, the initial non-RBOC cellular phone company serving New York City, which was ultimately sold to AT&T Wireless. Mr. Marraccini also founded and operated a highly successful rural cellular provider and a PCS provider in the Southeast. In addition, he has successfully invested in companies in such diverse industries as private cable, distributed antenna systems, marine communications and land mobile sales and service.

Mr. Marraccini attended the University of Maryland and Wagner College.
